Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Affinui website and services, including our affiliate network platform, publisher dashboard, and advertiser tools (collectively, the "Services").

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.

Affinui is operated by Affinui sp. z o.o., with its registered office at Branickiego 15, 02-972 Warsaw, Poland. For any questions relating to these Terms, contact us at legal@affinui.com.

To use our Services you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Services under applicable law
• Represent a business or act as an individual with legitimate commercial purposes

By registering an account, you represent and warrant that you meet all eligibility requirements.

When you create an account with Affinui, you are responsible for:

• Providing accurate, current, and complete registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at legal@affinui.com if you suspect unauthorised access

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

If you join the Affinui network as a publisher, you agree to:

• Promote advertiser offers only through approved traffic sources and placements
• Not engage in fraudulent, misleading, or deceptive promotional practices
• Not use spam, unsolicited messaging, or incentivised traffic unless explicitly permitted
• Comply with all applicable advertising standards, including FTC guidelines and ASA codes
• Disclose your affiliate relationship to your audience in accordance with applicable law
• Not modify, reverse-engineer, or misuse advertiser creative materials

Commissions are paid on validated conversions only. Affinui reserves the right to withhold or reverse commissions resulting from fraud, policy violations, or advertiser disputes.

If you use Affinui as an advertiser, you agree to:

• Provide accurate campaign information, creatives, and commission structures
• Pay commissions for all validated conversions in accordance with your agreed programme terms
• Not modify commission terms retrospectively in a way that disadvantages publishers
• Ensure your landing pages, products, and services comply with applicable law
• Not use the network to promote prohibited content (see Section 9)
• Provide timely responses to publisher disputes and conversion queries

Affinui acts as a network intermediary. Payment obligations remain between advertisers and publishers, with Affinui facilitating tracking, reporting, and settlement.

Affinui's fee structure and payment terms are agreed separately with each partner at onboarding. General principles include:

• Publisher payouts are processed on the agreed schedule once the minimum threshold is met
• Advertiser invoices are issued monthly or as otherwise agreed
• All fees are exclusive of applicable VAT or other taxes, which will be added where required by law
• Late payments may attract interest at the statutory rate under Polish law
• Disputed amounts must be raised in writing within 14 days of the relevant invoice or payout statement

All content on the Affinui website and platform - including logos, text, software, data, and design - is owned by or licensed to Affinui and is protected by applicable intellectual property law.

You may not reproduce, distribute, or create derivative works from any Affinui content without our prior written consent.

By submitting content to Affinui (such as creatives or campaign materials), you grant Affinui a non-exclusive, royalty-free licence to use that content solely for the purpose of delivering the Services.

Both parties agree to keep confidential any non-public information shared in connection with the Services, including campaign performance data, commission rates, and technical documentation. This obligation survives termination of the relationship for a period of two years, unless the information becomes publicly available through no fault of the receiving party.

You must not use the Affinui platform to promote or facilitate:

• Illegal products, services, or activities in any jurisdiction
• Adult content, gambling, or weapons unless explicitly approved in writing by Affinui
• Misleading health claims or unsubstantiated financial promises
• Phishing, malware, or any form of cyberattack
• Discrimination based on race, gender, religion, nationality, disability, or any protected characteristic
• Content that infringes third-party intellectual property rights

Violation of this section may result in immediate account suspension and forfeiture of pending earnings.

The Services are provided "as is" and "as available". Affinui makes no warranties, express or implied, regarding the accuracy, reliability, or availability of the platform.

To the fullest extent permitted by law, Affinui's total liability to you for any claim arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to Affinui in the three months preceding the claim; or (b) €500.

Affinui shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Affinui and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

Either party may terminate the relationship at any time by providing written notice. Affinui may suspend or terminate your account immediately if you violate these Terms or engage in conduct that harms the network or its partners.

Upon termination:

• Your access to the platform will be revoked
• Outstanding validated commissions will be paid on the next scheduled payout date
• Commissions under dispute may be withheld pending resolution
• Sections 7, 8, 10, 11, and 13 survive termination

These Terms are governed by and construed in accordance with the laws of Poland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

We may update these Terms from time to time. Material changes will be communicated to registered users by email or via a prominent notice on the platform. Continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
